Draft prepared for legal review — Nigeria

Last updated: [PLACEHOLDER]

DRAFT FOR LEGAL REVIEW — NOT YET IN EFFECT. This document has not been reviewed by a lawyer qualified in Nigerian data protection and education law. It must not be published, distributed to users, or relied upon as a binding legal document until a qualified lawyer has reviewed and approved it, and all bracketed placeholders below have been completed.

These Terms and Conditions govern access to and use of the SchoolItPropa (SIP) platform. Given that student data and safety-relevant features (the Learning Centre, the Social Feed) are involved, this document needs particular care in its liability and acceptable-use provisions.

1. Acceptance of Terms

These Terms and Conditions ("Terms") govern access to and use of the SchoolItPropa ("SIP") platform, including its desktop application and its Staff, Parent, and Student mobile applications (together, the "Service"), operated by [PLACEHOLDER — LEGAL ENTITY NAME] ("SIP," "we," "us"). By accessing or using the Service, the applicable party below agrees to be bound by these Terms.

2. Account Types

  • School Account: created when a School subscribes to SIP. The School’s designated Administrator(s) manage School-level configuration and register Staff and Student records.
  • Staff Account (Admin, Teacher, Non-Teaching Staff): provisioned by the School Administrator. Staff access the desktop application and/or Staff mobile application according to their role.
  • Parent Account: created by a Parent/Guardian, and linked to their child’s(ren’s) Student record(s) only after the School verifies the parent-child relationship.
  • Student Account: provisioned by the School as part of student registration, and made available for the Student’s own use only where the School has confirmed valid parental/guardian consent has been obtained, as described in the Privacy Policy.

3. The School’s Responsibilities

As the Data Controller for Student and Staff records processed through the Service, the School is responsible for:

  • The accuracy of data entered or imported into the Service.
  • Obtaining and retaining valid parental/guardian consent for each Student before registering that Student on the Service, per the School Enrollment Consent Clause provided by SIP.
  • Managing which Staff members have access to which data and features, consistent with their role.
  • Reviewing and approving any content published to the shared, cross-school Social Feed before it is posted — only the School’s own Staff/Admin accounts can author or publish Social Feed content.
  • Promptly notifying SIP of any suspected unauthorized access to a School, Staff, Parent, or Student account originating from the School’s own registration or credential-issuance process.

4. SIP’s Role

SIP provides the Service as a Data Processor acting on the instructions of each School (see the Privacy Policy for the controller/processor relationship, including items still pending legal confirmation). SIP is responsible for the security, availability, and functioning of the Service consistent with these Terms and the Privacy Policy.

5. Account Security

Each account holder is responsible for maintaining the confidentiality of their login credentials and for all activity occurring under their account. Users must notify SIP or their School promptly of any suspected unauthorized use.

6. Acceptable Use

Users agree not to:

  • Use the Service to harass, bully, defame, or endanger any other person, including via the Social Feed or any commentary/reaction feature.
  • Upload, post, or transmit content that is unlawful, obscene, or that infringes another party’s intellectual property or privacy rights.
  • Attempt to access data, accounts, or Schools other than those the user is authorized to access.
  • Reverse-engineer, scrape, or interfere with the operation or security of the Service.
  • Use the Student mobile application’s Learning Centre or any other Student-facing feature to post, upload, or share content — all Learning Centre content is staff-curated only.
  • Impersonate any other person or misrepresent an affiliation with any School.

7. Content

7.1 School and Staff-uploaded content

Schools and Staff retain ownership of the academic, administrative, and curated Learning Centre content they upload, and grant SIP a limited license to host, process, and display that content solely to operate the Service for that School (and, where the School has opted in, to display it within the cross-school Social Feed or Cross-School Benchmarking as described in the Privacy Policy).

7.2 Social Feed content

Content a School publishes to the shared, cross-school Social Feed is visible to other Schools’ users on the Service, as configured. The publishing School represents that it holds all necessary rights and consents (including any required parental consent for content identifying a Student) to publish that content in this cross-school context. Only the School’s own Staff/Admin accounts can author or publish this content, and it becomes visible only once the School has published it (see Section 3).

[PLACEHOLDER: the exact audience scope for a published Social Feed post — whether visible to every School on the Service or a narrower configured set — depends on an unresolved product question and must be finalized before publication.]

8. AI-Assisted Features Disclaimer

AI-assisted question generation and grading features are provided as a convenience and productivity aid for teachers, available to Schools on a qualifying subscription plan (see Pricing). SIP does not guarantee the accuracy, completeness, or fairness of AI-generated content or grading, and all AI-assisted grading remains subject to teacher review and override. Schools and teachers are responsible for reviewing AI-generated content before relying on it for any formal academic decision.

See the Privacy Policy, Section 8, for what data is sent to the AI provider and why

9. Availability and Offline Functionality

The desktop application is designed to function without an internet connection, with data syncing automatically once connectivity is restored. SIP does not guarantee uninterrupted availability of server-dependent features (including sync, Parent/Student mobile applications, Social Feed, and Cross-School Benchmarking) and is not liable for delays or data unavailability caused by connectivity interruptions, provided SIP’s offline-sync design operates as intended.

10. Fees and Payments

Parents may use the Parent mobile application to pay (a) school fees owed to the School, and (b) where applicable, SIP subscription fees, via Paystack, a licensed third-party payment processor. Payments are processed directly by Paystack; SIP does not receive, hold, or take custody of payment funds at any point — Paystack remits each payment directly to the intended recipient (the School, for school fees; SIP, for subscription fees).

By making a payment through the Service, the Parent agrees to Paystack’s own terms of service and privacy policy, in addition to these Terms. Transaction records (amount, date, status, reference number) are retained for reconciliation and audit purposes per the retention terms in the Privacy Policy.

[PLACEHOLDER: refund policy for school fees must be set by each School, since SIP is not the recipient of those funds — confirm and document the process for a Parent to request a school-fee refund directly from the School. A separate refund policy for SIP subscription fees, if applicable, must be drafted with counsel. Also confirm with counsel whether facilitating payment collection in this pass-through capacity requires SIP to obtain any license, registration, or additional compliance under Central Bank of Nigeria (CBN) payment system regulation, even though SIP does not hold funds at any point — the regulatory treatment of “pass-through” payment facilitators can vary and should not be assumed safe by default.]

11. Intellectual Property

The Service, including its software, design, and underlying technology, is the property of SIP and its licensors. These Terms do not grant any user rights to SIP’s intellectual property beyond the limited right to use the Service as provided.

12. Suspension and Termination

SIP may suspend or terminate access to the Service for any account or School found to be in material breach of these Terms, including violations of the Acceptable Use section, with notice where practicable. A School may terminate its subscription per its separate agreement with SIP.

[PLACEHOLDER: cross-reference the commercial/subscription agreement once drafted.]

13. Disclaimers and Limitation of Liability

[PLACEHOLDER — REQUIRES LEGAL DRAFTING: standard limitation-of-liability, warranty disclaimer, and indemnification clauses must be drafted by qualified counsel to be enforceable and appropriately scoped under Nigerian contract law. Do not rely on generic template language for this section given the presence of children’s data and safety-relevant features in the Service.]

14. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria.

[PLACEHOLDER: confirm venue/dispute resolution mechanism — courts vs. arbitration — with counsel.]

15. Changes to These Terms

SIP may update these Terms from time to time. Material changes will be communicated to Schools in advance of taking effect.
